Service Agreement
The following are the terms and conditions for use of the Worldwide Dialup service including present and future features offered by Worldwide Dialup and other services which may be offered from time to time by Worldwide Dialup LLC ("WWDU") for use with your WWDU account (each feature individually and collectively referred to as the "Service"). Please read them carefully. This Service is provided to businesses or to individuals who are at least 18 years old or to minors who have parental consent to open and maintain an account.

Each user is solely responsible for his or her transmissions through WWDU.

As a condition of your use of the Service, you affirm to WWDU, that you will not use the Service for any purpose that is unlawful or prohibited by these terms, conditions, and notices.

By registering for service with WWDU, you agree to be bound by the terms outlined in this Service Agreement. WWDU may, at its sole discretion, immediately terminate service without cause or notice, should user's conduct fail to conform to these conditions.
  1. We are an Internet-based business and we use the Internet to send and receive certain types of communications. You agree to be bound by Internet regulations, policies and procedures.
  2. You agree to comply with all applicable local, state, national and international laws and regulations. You also agree to not use WWDU for illegal purposes; to not interfere or disrupt networks connected to this service; and to comply with all the rules, policies and procedures connected to this service.
  3. You will not use WWDU to send junk email, spam, chain letters or use email lists that contain any person that has not specifically agreed to be included on that list.
  4. You agree not to transmit, or allow others to use your account to transmit, through WWDU, any objectionable material including, but not limited to, unlawful or harassing, libelous, abusive, threatening, harmful, vulgar or obscene material that encourages conduct that could constitute a criminal offence, give rise to civil liability or otherwise violate items discussed in ##2 above.
WWDU SPAM POLICY
Our spam (Unsolicited Commercial E-mail) policy at WWDU is "zero-tolerance". Anyone found to be generating spam from within our system will have their user privileges revoked immediately.

ACCOUNT TERMINATION
This Agreement for the use of the Service will be in effect from the date your completed registration is accepted by WWDU. This Agreement and your use of the Service may be terminated by you with notice in writing five (5) days in advance of requested termination date, or by WWDU at any time with or without notice for your nonpayment or other default. All obligations of and restrictions on you and any user of your account with respect to the Service shall survive any termination of this Agreement. WWDU has no obligation to store or forward the contents of your account.

SIGNING UP AND MAINTAINING AN ACCOUNT
WWDU offers two types of accounts. Our Personal Account is designed for single user access. Our Business Account is designed for businesses and other entities who need to provide Internet access to multiple users. In addition, the Business Account is designed to be administered by one technical contact within the entity.

You are entirely responsible for maintaining the confidentiality of all passphrases that you may receive or setup for your account. Furthermore, you are entirely responsible for any and all activities that occur under your account.

SERVICE RATES AND CHARGES
The rates and charges for the Service shall be as set forth in your registration package or otherwise in accordance with WWDU's Rate Schedule. Rates and fees, and other terms and conditions of the Service are subject to change by WWDU without notice. There are two payment options available for the WWDU service.

The first option is to be billed by credit card. Under this option your account setup fees will be billed by credit card. Roaming fees on your account during the span of a month will be billed monthly. A Maintenance fee will billed for each user that does not use the roaming service in a calendar month. In the event that WWDU has a problem processing your credit card the contact e-mail for your account will be immediately notified. If other payment arrangements are not made within within 2 days time or if your outstanding balances exceeds $75.00 your account will be immediately placed on hold and all passwords for all services will be changed. To reinstate the account, the outstanding balance must be paid within 15 days. If payment is not recieved within this timeframe your account will be terminated. If you wish to re-sign up after that time period you will once again be subject to all setup fees and any outstanding balances on your previous account.

The second option is to pay by check. Under this option the account will be invoiced by WWDU for services rendered. The contact person on the account would receive notification of new invoices (available for viewing on the WWDU website) as well as the current outstanding balance by e-mail. Invoice payments are typically due within 21 days of the date of the invoice. If payment is not received in a timely manner your account will be immediately placed on hold and all passwords for all services will be changed and your contact person will be notified by e-mail. Should payment not be received within 45 days of the invoice date your account will be terminated. If you wish to re-sign up after that time period you will once again be subject to all setup fees and any outstanding balance on your previous account. In addition, to the above, there is also a deposit required per user for accounts that wish to pay by check. Deposits are not applied to usage or monthly maintenance fees and will be forfeited in situations where the account is closed due to non payment. Otherwise, deposits will be refunded upon normal account cancellation. Deposit information can be found on the WWDU Rate Schedule.

LIABILITY
The information and services included in or available through the Service may include inaccuracies or errors. WWDU may make improvements and/or changes to the Service at any time without notice.

WWDU does not guarantee that WWDU will be uninterrupted or error-free, that bugs or malfunctions will be corrected, or that the Service and its servers are free of harmful components. WWDU does not guarantee that the uses of its Service, or the materials provided within the Service, are accurate, without error, or reliable.

WWDU provides its Service "as is". The Company makes no warranty or covenant in regards to the availability, reliability, or timeliness of the Service. WWDU is not responsible for the appropriateness of the Service for any one purpose.

WWDU will not be held responsible for any and all damages whatsoever as a result of the loss of use, data or profits connected to the performance of WWDU. The user is solely responsible for any and all information that passes through the WWDU servers. WWDU is not responsible or liable for any product or service acquired or requested using the Service. The sole remedy is for users to discontinue their use of WWDU and its related Web sites.

INDEMNIFICATION
You agree that WWDU, its parents, subsidiaries, officers and employees, cannot be held responsible for any third party claim, demand, or damage, including reasonable attorneys' fees, arising out of your use of the Service.

MESSAGE STORAGE, SENDING MESSAGES AND MESSAGING LIMITATIONS
The amount of email storage space per member is limited; please visit our Email Service FAQ for more information. Some email messages may not be processed due to space constraints or outbound message limitations. You agree that WWDU is not responsible or liable for the deletion or failure to store messages or other information.

THIRD PARTY SITES, ADVERTISERS, AND PROMOTIONS
The links included within this Web site may allow you to leave the WWDU site and visit third party sites. These third party sites are not under the control of WWDU. WWDU is not responsible for the contents of any third party site nor is WWDU responsible for the functionality of any third party site. WWDU provides links to our service to you strictly as a convenience.

Any promotions sponsored by Advertisers to the Service or dealings with the Advertisers directly are solely between you and that third party. WWDU is not responsible in any part of any such connections or dealing with advertisers or their promotions.

Refund Policy
All usage fees are non refundable. However, if you are dissatisfied with the service upon your initial registration, you may cancel the service and receive a refund for the user setup fee(s) you incurred. Cancellation and Refund requests of this nature must be made via email to support@worldwidedialup.net within 5 days of the date of initial account registration. All other refunds are at the discretion of WWDU and will be evaluated on a case by case basis.

Privacy Policy
WWDU values its customers and respects their privacy. We collect customer information in an effort to improve your Internet experience and to communicate with you about our services and for billing purposes. We do not sell or rent your personal information to third parties. We do, however, share your information (excluding Credit Card Account Information) with iPass when needed for support purposes.

MODIFICATIONS TO TERMS OF SERVICE, MEMBER POLICIES
WWDU reserves the right to review and change this agreement regarding the use of the Service at any time and to notify you by posting an updated version of the agreement on this Web site. You are responsible for regularly reviewing WWDU policies. Continued use of the Service after any such changes shall constitute your consent to such changes.

Any rights not expressly granted herein are reserved.
